These terms apply to quotations, samples and orders placed with Guangzhou Ruiwei Leather Co., Ltd. through ruiweibags.com.
Scope and quotations
These terms govern the business relationship between RUIWEI and the buyer unless a signed contract or proforma invoice states otherwise. Quotations are valid for 30 days unless stated otherwise, and exclude duties and taxes unless agreed in writing.
Orders and deposits
Production starts after we receive a signed proforma invoice and the agreed deposit. Unless otherwise agreed in writing, payment is 30% deposit with the order and 70% before shipment or against a copy of the bill of lading. Orders and amendments are binding only when confirmed in writing by both parties.
Samples and production standard
The sample you approve defines the production standard. A golden sample is retained by both parties. Finished goods that deviate from the approved golden sample are rectified at our cost.
Lead times
Sampling takes 3-7 working days. Bulk production takes 35 calendar days from receipt of deposit and confirmation of materials, including material sourcing. Repeat orders typically take 25 days. Ship dates are confirmed on the proforma invoice.
Quality and inspection
Goods are produced and inspected to AQL 2.5 (major defects) and AQL 4.0 (minor defects), with zero tolerance for critical defects. Third-party inspection is welcome at any stage. Where our workmanship causes a failed inspection, we bear the re-inspection cost.
Intellectual property, liability and governing law
The buyer warrants that it holds the rights to any design, logo or artwork supplied to us. Buyer designs, patterns and tooling remain the buyer's property and are never produced for third parties; we sign an NDA before receiving a tech pack. Our liability is limited to the value of the affected goods. These terms are governed by the laws of the People's Republic of China.
